EDGE Terms and Conditions (Terms of Service)

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer”, “User”, or “you”) and The Base Solution Co., Ltd., a company organized under the laws of Republic of Korea (“Company”, “we”, “our”, or “us”), governing access to and use of the EDGE software platform and related services (the “Service”).
By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
Account means the registered account created by Customer to access the Service.
Authorized Users means Customer’s employees or contractors permitted by Customer to use the Service for its internal business operations.
Customer Data means all data, materials, and content uploaded to or generated through Customer’s use of the Service.
Documentation means official instructions and specifications provided by Company regarding use of the Service.
EDGE Software means the Company’s proprietary software platform and related applications, tools, plugins, outputs, and updates made available as a service.
Output means any template, measurement, layout, recommendation, cutting data, digital file, or any derivative result generated directly or indirectly through use of the Service.
Subscription Term means the period during which Customer is authorized to use the Service pursuant to a paid subscription.
2. Acceptance of Terms
By creating an Account, accessing, or using the Service, Customer confirms:
- it has read and agrees to these Terms;
- it has authority to bind the business entity it represents;
- it will comply with applicable laws and regulations.
If you do not agree, you must not access or use the Service.
3. Eligibility and Business Use
The Service is intended solely for professional and commercial use by business entities and trained operators in the automotive installation industry.
The Service is not intended for consumer use. If mandatory consumer protection laws apply in your jurisdiction, such rights apply only to the minimum extent required by law.
4. Account Registration and Security
Customer must:
- provide accurate and complete information;
- maintain confidentiality of login credentials;
- promptly notify Company of unauthorized use.
Customer is responsible for all activity occurring under its Account.
Company may suspend accounts suspected of compromise or misuse.
5. License Grant and Restrictions
Subject to compliance with these Terms and payment of fees, Company grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license during the Subscription Term to access and use the Service solely for internal business operations.
Customer shall not:
- copy, modify, or create derivative works of the Service;
- reverse engineer or attempt to extract source code;
- resell, lease, sublicense, or provide the Service to third parties as a service bureau;
- use the Service to develop competing products;
- circumvent usage limitations or security measures.
All rights not expressly granted are reserved by Company.
6. Permitted Use and Prohibited Use
Customer may use the Service only for legitimate automotive installation preparation and related commercial purposes.
Customer shall not use the Service:
- for unlawful activities;
- in a manner that risks safety, property damage, or personal injury;
- to process data without proper authorization;
- in violation of export control laws or sanctions;
- to interfere with system integrity or availability.
Competitive Use Restrictions
Customer shall not, and shall not permit any third party to, access or use the Service for the purpose of:
- building, training, improving, or developing a competing product or service;
- benchmarking, evaluating, or analyzing the Service for competitive comparison or publication;
- harvesting, extracting, or compiling Outputs, templates, measurements, or datasets to create a competing database or library;
- replicating workflows, structure, taxonomy, or functional behavior of the Service;
- using automated tools, scripts, bots, or systematic methods to collect or derive underlying data, models, or logic;
- providing access to any competitor of Company.
Material Breach. Any access to the Service by or on behalf of a competitor of Company for competitive analysis, product development, or commercial intelligence gathering is strictly prohibited and constitutes material breach of this Agreement.
Company reserves the right to monitor usage and implement technical, operational, or rate limits where usage exceeds reasonable professional activity, risks system stability, or threatens protection of the Service, database, or intellectual property. Such actions may include throttling, restricting, suspending, or blocking access without liability.
7. Intellectual Property Ownership
The Service, EDGE Software, Documentation, algorithms, templates, databases, and all related intellectual property are owned exclusively by Company and its licensors. Customer obtains no ownership rights.
All feedback provided by Customer may be used by Company without restriction or compensation.
Confidentiality of Service
The structure, organization, workflows, behavior, interfaces, and operational characteristics of the Service constitute confidential information of Company. Customer shall not disclose, document, analyze, or use such information except as strictly necessary for authorized use of the Service under these Terms.
Any observation, testing, or use of the Service for purposes other than normal commercial operation is prohibited. Access to the Service is provided solely for operational use, and any access for learning, studying, modeling, or reproducing its behavior or logic outside normal commercial operation is prohibited.
8. User Content and Data
Customer retains ownership of Customer Data. Customer grants Company a worldwide, non-exclusive license to host, process, transmit, and store Customer Data solely to provide the Service.
Customer represents it has all rights necessary to upload and use such data.
Company does not act as a recordkeeping, archival, or storage provider for Customer’s operational data. Customer acknowledges that continued availability of historical data is not guaranteed and the Service should not be relied upon as the sole source of business records.
9. Software Accuracy Disclaimer
The Service produces Outputs intended as professional assistance tools only. Company does not guarantee accuracy of measurements, fitment suitability, completeness of templates, correctness of recommended installation parameters, or absence of installation errors.
Customer is solely responsible for verifying all Outputs before cutting, installation, or production use. Customer acknowledges improper use may cause material loss, equipment damage, or business loss, and assumes all responsibility for operational decisions.
10. Third-Party Hardware and Integrations
The Service may interact with third-party devices, equipment, plugins, operating systems, printers, cutters, or integrations. Company does not manufacture or control third-party hardware, does not guarantee compatibility, and is not responsible for hardware malfunction, miscalibration, or damage.
Customer bears sole responsibility for machine setup, calibration, and safe operation.
11. Subscription, Fees, Billing, and Taxes
Access requires payment of subscription fees. Fees (a) are payable in advance; (b) are non-refundable unless required by law; and (c) exclude taxes. Customer is responsible for all applicable taxes, duties, and charges.
Failure to pay may result in suspension.
12. Automatic Renewal
Subscriptions automatically renew for successive periods equal to the initial Subscription Term unless cancelled before the renewal date. Customer authorizes Company to charge the payment method on file.
13. Suspension and Termination
Company may suspend or terminate access immediately if Customer breaches these Terms, payment is overdue, or use poses security, legal, or operational risk.
Company may terminate the Service with reasonable notice. Upon termination, license rights cease immediately.
Termination or suspension does not relieve Customer of any accrued payment obligations, which shall survive termination.
14. Service Availability and Maintenance
The Service is provided on an “as available” basis. No uptime guarantee is provided unless separately agreed in writing.
Company may perform maintenance, modify infrastructure, and experience outages.
The Service is not designed, licensed, or intended for mission-critical, safety-critical, or uninterrupted operational use, and Customer shall not rely on the Service as essential operational infrastructure.
15. Updates and Feature Changes
Company may modify, update, replace, or remove features at any time. Continued use constitutes acceptance of changes.
16. Beta Features
Beta or experimental features are provided for testing only and may be unstable, incomplete, or inaccurate. They are provided “as is” without any warranty or support commitment.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”.
COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
COMPANY DOES NOT WARRANT THAT OUTPUTS WILL PRODUCE SUCCESSFUL INSTALLATION RESULTS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- COMPANY SHALL NOT BE LIABLE FOR PROPERTY DAMAGE, INSTALLATION FAILURE, MATERIAL LOSS, MACHINE DAMAGE, BUSINESS INTERRUPTION, LOST PROFITS, LOST DATA, OR INDIRECT OR CONSEQUENTIAL DAMAGES.
- COMPANY’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER DURING THE 12 MONTHS PRECEDING THE CLAIM.
- THIS LIMITATION APPLIES REGARDLESS OF LEGAL THEORY.
The parties acknowledge that the limitations of liability in these Terms reflect a reasonable allocation of risk and form an essential basis of the bargain between the parties.
19. Indemnification
Customer shall indemnify and hold Company harmless from any claims, damages, or losses arising from installation errors, misuse of Outputs, equipment operation, violation of laws, or Customer Data.
20. Professional Use Responsibility
The Service is a professional assistance tool only. Customer is solely responsible for verifying suitability, performing test cuts, ensuring safe installation practices, and complying with industry standards. Company does not supervise or control physical installation processes.
21. Force Majeure
Company is not liable for failure or delay due to events beyond reasonable control, including natural disasters, network outages, labor disputes, governmental actions, or supply disruptions.
22. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Republic of Korea, excluding conflict of law principles. Disputes shall be resolved exclusively in the courts of Seoul, South Korea, unless arbitration is required below.
23. Arbitration and Class Action Waiver
Where permitted by applicable law, disputes shall be finally resolved by binding arbitration under the Rules of Arbitration of Republic of Korea by a single arbitrator appointed in accordance with such rules.
Customer waives any right to participate in class or representative actions. If arbitration is unenforceable in a jurisdiction, the court clause above applies.
24. Export Control and Sanctions
Customer shall not access or use the Service in violation of export control or sanctions laws. Customer represents it is not located in a restricted jurisdiction and is not a prohibited party. Company may block access where legally required.
25. Assignment
Customer may not assign these Terms without Company’s prior written consent. Company may assign these Terms without restriction.
26. Entire Agreement
These Terms constitute the entire agreement regarding the Service and supersede all prior agreements or understandings.
27. Changes to Terms
Company may update these Terms at any time. Continued use after updates constitutes acceptance.
