These EDGE Open Beta Terms and Conditions (“Terms”) apply to your access and use of EDGE Pre-cut Software (“the Service”), provided by The Base Solution Co., Ltd. (“The Base Solution,” “we,” “our,” or “us”). By using the Service, you agree to these Terms. If you do not agree, you must stop using the Services.

1. Eligibility

You must be at least 18 years old and authorized to act on behalf of your business or organization to use this Service.

2. Beta Status

The Service made available to you at this stage is a Beta version and is still under active development. The Service may contain bugs, errors, or other issues that may affect its performance, functionality, or stability. The Beta version is provided to you “as is” for the purpose of evaluation and feedback.

3. License Grant

The Base Solutions grants you a limited, non-exclusive, non-transferable, revocable license to use the Service during the Open Beta period for evaluation and internal business use only.

4. No Warranty

STEK and The Base Solutions make no warranties, whether express or implied, regarding the Beta version, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, performance, accuracy, or reliability. Use of the Beta version is at your own risk.

5. Data Loss & Service Interruptions

The Beta version may be modified, suspended, or discontinued at any time without notice. You acknowledge that data created or stored in the Beta version may be lost or corrupted. You agree to maintain backup copies of any data used with the Service.

6. Feedback License

By submitting feedback, suggestions, ideas, feature requests, or error reports, you grant STEK and The Base Solutions a perpetual, irrevocable, worldwide, royalty-free license to use, modify, distribute, and implement such feedback without restriction or compensation.

7. Usage Data Collection

The Service may collect usage data and interaction patterns for the purpose of improving performance, usability, and stability. This data will be handled according to the Privacy Policy.

8. Access Revocation

Access to the Beta version may be limited or terminated at any time at STEK’s or The Base Solutions’ sole discretion.

9. Privacy

Your use of the Service is also governed by our Privacy Policy.

10. Third-Party Services

The Service may include integrations with third-party services such as hosting, analytics, or communication tools. We are not responsible for the practices, content, or policies of those third parties.

11. Intellectual Property

All intellectual property rights in the Service, including software, pattern libraries, UI/UX design, data models, text, images, and proprietary tools, are owned by The Base Solutions or its licensors. No rights are transferred except those explicitly stated.

12. Restrictions

You may not:

• Copy, distribute, or sublicense the Service
• Reverse-engineer, decompile, or create derivative works
• Share access credentials or allow unauthorized users to access the Service
• Use the Service to compete directly with EDGE or related products

13. Disclaimers

The Service are provided “as is” and “as available.” We do not guarantee that the Services will be uninterrupted, error-free, or secure. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement..

14. Limitation of Liability

To the maximum extent permitted by law, neither STEK nor The Base Solutions shall be liable for:

• Loss of profits, revenue, or business
• Loss of data
• Downtime or business interruption
• Any indirect, incidental, or consequential damages

Total liability for any claim shall not exceed the amount paid for access to the Service during the preceding 12 months (which during Beta may be zero)..

15. Indemnification

You agree to indemnify and hold harmless The Base Solution and its employees from any claims, damages, or expenses resulting from your use of the Service or violation of these Terms.

16. Termination

We may suspend or terminate your access to the Service if you:

• Violate these Terms.
• Engage in fraudulent or harmful activity.
• Fail to maintain an active business relationship with The Base Solution and STEK, including distributor or installer obligations.

You may also stop using the Service at any time by closing your account.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law principles.

Any disputes, claims, or controversies arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the Seoul Central District Court.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date above or notify you directly. By continuing to use the Service after changes are made, you accept the revised Terms.
